The Vice President will be responsible for the below:
· Debt strategy
Maintain constant awareness of debt market conditions/trends across the Leveraged Finance and Investment Grade markets and advise the COO and Senior Management Team (SMT) on how or where these may impact lending appetite and in turn the Company's acquisition and growth plans. Research marketing angles or areas where the Company can gain traction and differentiate itself from the competition. Formulate and implement appropriate debt finance strategies for the Company's range of asset classes.
· Bank relationship development
Maintain an active and valued dialogue with debt finance providers on an ongoing basis. Manage the Company's relationships with bankers in London and Europe and develop new banking relationships. Conduct regular meetings with bankers to deliver the Company's messages including recent transaction summaries, case studies, and other related activities.
· Sourcing and negotiation of debt terms
On a timely basis seek lending terms for potential acquisitions and escalate to seeking term sheets when acquisition deals are imminent. Attend Transaction check-list meetings to understand debt financing requirements for assets. Ensure two competitive quotes are sourced in all instances whilst managing and maintaining relationships with providers throughout. Negotiate term sheets to ensure the firm's key requirements are incorporated and head room for all covenants is maximised. Pro-actively manage any loan re-financing requirements and hedging with lender banks as and when required. Proactively speak to valuers when drawing down a new bank facility to ensure the valuation placed on the property for lending purposes does not create any unforeseen issues.
· Loan agreements
On deal closure, together with the Head of Transactions, deal with CPs and CSs. Ensure Loan Market Association (LMA) and loan/security documents are completed as required on all loans and that they reflect points agreed in the associated term sheet. Liaise with the Head of Transactions on these legal agreements so cross-checks can be carried out before they are executed. In conjunction with the Head of Transactions, run a Transaction hand-over meeting to ensure the relevant Asset Manager and Management Accountant are fully briefed on the key aspects of bank documents e.g. covenant requirements and restrictions.
