Your new role
As Manager, Entity Governance & Compliance, you will act as a trusted governance adviser to a diverse portfolio of clients, delivering high-quality company secretarial and governance services. This role combines technical expertise and client relationship management, making it an excellent opportunity for an experienced governance professional looking to further develop their advisory capabilities.
Key responsibilities will include:
- Acting as company secretary and governance adviser to a portfolio of listed and unlisted clients.
- Advising on ASX Listing Rules, corporate governance frameworks, compliance obligations and disclosure requirements.
- Preparing and reviewing board and committee papers, minutes, resolutions and governance documentation.
- Supporting governance advisory projects including IPO readiness, listing compliance and governance reviews.
- Building and maintaining strong client relationships while contributing to business development initiatives.
- Mentoring and supporting junior team members and sharing technical expertise across the broader team.
- Monitoring regulatory developments and identifying opportunities to enhance governance processes and client outcomes.
- Collaborating with stakeholders across Australia, New Zealand and international teams to deliver outstanding client service.
To be successful, you will bring a strong background in company secretarial, governance or corporate legal services, together with the confidence to engage directly with boards and senior stakeholders.
You will ideally possess:
- 5+ years' experience in company secretarial, corporate governance, legal entity management or a related discipline.
- Strong working knowledge of the Corporations Act, ASIC compliance requirements and ASX Listing Rules.
- Experience supporting boards and committees, including agenda preparation, minute-taking and governance advisory.
- The ability to interpret regulatory requirements and translate them into practical business outcomes.
- Excellent communication and stakeholder management skills, with a client-focused approach.
- Experience building trusted relationships and managing multiple competing priorities in a fast-paced environment.
- Qualifications with the Governance Institute of Australia, or similar governance-related credentials, will be highly regarded.
