Associate Director - Group Development

JTC Group London, United Kingdom
Associate Director - Group Development

EMPLOYMENT TYPE: Permanent

DEPARTMENT: Group Development

DIVISION: Group

WORKPLACE STRUCTURE: Hybrid

ROLE OVERVIEW

PURPOSE OF JOB

The Associate Director is a senior, hands-on member of JTC's Group Development function, sitting at the heart of the Group's growth ambition. Working closely with the Group Director, the role holder will lead the day-to-day execution of acquisitions and other inorganic growth initiatives, owning the transaction process from initial assessment through due diligence, documentation and completion, as well as supporting origination and the planning of post-merger integration. The role has direct exposure to JTC's most senior stakeholders, including the Group's Executives, the JTC Board and the Group's private equity owners, and will lead and develop a junior member of the team.

MAIN RESPONSIBILITIES AND DUTIES

  • Lead the day-to-day execution of M&A transactions, including valuation, indicative offers, due diligence, documentation, negotiation and completion, maintaining momentum and operating within JTC's transaction governance framework.

  • Support the Group Director in originating and developing a qualified M&A pipeline across the Fund Administration, Corporate & Trust Services ('FACTS') market, building relationships with owners, management teams, brokers and advisers, and maintaining the Group's M&A pipeline tracking and reporting.

  • Scope, co-ordinate and lead multi-workstream due diligence (financial, tax, legal, commercial, operational, regulatory, IT and people), including on cross-border transactions in the US and other jurisdictions, tailoring scope and depth to the deal profile, and identifying and escalating material items impacting valuation, structure or risk.

  • Appoint, manage and partner with external advisers and internal subject matter experts, including agreeing scope, engagement terms and fee budgets, and synthesising findings across workstreams for senior stakeholders.

  • Build and review acquisition models, including valuation, returns, synergies, funding considerations and scenario analysis, to support negotiation and approval.

  • Lead the negotiation of key commercial terms and transaction documents (including NDAs, heads of terms, SPAs, completion mechanics, earn-outs and deferred consideration, rollover and management incentive arrangements), working closely with senior leaders and legal counsel to protect and advance JTC's commercial interests.

  • Prepare and present investment papers and approval materials on behalf of the Group Development Committee, the JTC Board and the Group's private equity owners, distilling complex deal dynamics into clear, structured and persuasive outputs.

  • Contribute to the ongoing development of JTC's M&A strategy and transaction playbook, partnering with regional and product line heads on strategy around M&A, Joint Ventures ('JVs') / partnerships, greenfield investments and divestments.

  • Work closely with Group Finance, Treasury, Tax and Legal on deal structuring, funding, completion and post-completion matters.

  • Support engagement with JTC's private equity owners and lenders on M&A and value creation initiatives, ensuring the pipeline and completed transactions support the investment thesis for JTC.

  • Line manage, coach and develop junior members of the Group Development team, reviewing their work and building the capability of the function.

  • Champion the use of technology, data and AI tools to improve the efficiency and quality of the Group Development function.

  • Adhere to JTC core values and guiding principles and behaviours.

ESSENTIAL REQUIREMENTS

  • Qualified accountant (ACA, ACCA, CA or equivalent) or CFA charterholder, with a degree in a business, economics or other numerate discipline.

  • Significant M&A experience (6+ years), gained at a leading accountancy firm, investment bank or advisory boutique and / or within a corporate development team.

  • Demonstrable track record of originating and executing M&A transactions through to completion, including leading or co-ordinating multi-workstream due diligence processes.

  • Excellent financial modelling, valuation and analytical skills.

  • Strong understanding of deal structuring, including completion mechanics (locked box / completion accounts), earn-outs, deferred consideration and management incentive arrangements.

  • Experience preparing and presenting Board and investment committee materials, and credibility with senior stakeholders, founders, management teams and advisers.

  • Experience managing external advisers and leading, reviewing and developing junior team members.

  • Sound commercial judgement, with the ability to manage multiple live transactions concurrently and perform under pressure.

  • Advanced Excel and PowerPoint skills, and familiarity with AI tools and how these can be used to work more effectively.

DESIRABLE REQUIREMENTS

  • M&A experience within financial or professional services, ideally the FACTS sector (fund administration, corporate and trust services).

  • Experience of cross-border transactions, particularly in the US, as well as Europe and offshore jurisdictions.

  • Experience working with private equity or within a private equity-backed business.
