Job Description:

Baker Tilly is seeking an experienced Business Valuation Director to join our growing Valuation practice. The Director will lead complex valuation engagements, develop and maintain trusted client relationships, contribute to practice growth and provide technical and professional leadership to valuation team members.

This position is ideal for an accomplished valuation professional who combines strong technical expertise with sound business judgment, exceptional client-service skills and a demonstrated ability to develop people and grow a professional services practice.

The Business Valuation Director will work with privately held businesses, public companies, private equity firms, family offices, legal counsel, financial institutions and other stakeholders. Engagements may involve valuations for financial reporting, tax planning and compliance, mergers and acquisitions, ownership transitions, corporate planning and other strategic purposes.

Responsibilities
Client Engagement and Project Leadership
  • Lead complex business valuation and advisory engagements from initial scoping through final delivery.
  • Serve as the primary client contact and maintain responsibility for engagement quality, timing, economics and client satisfaction.
  • Develop engagement scopes, work plans, budgets, staffing models and delivery schedules.
  • Oversee valuations of business enterprises, equity interests, intangible assets, complex securities and other financial instruments.
  • Prepare and review clear, supportable and defensible valuation reports, presentations and other client deliverables.
  • Present valuation findings to senior executives, boards, audit committees, legal counsel, auditors and other stakeholders.
  • Address technical questions and respond effectively to challenges from auditors, regulators, tax authorities, opposing experts and other third parties.
  • Identify changes in engagement scope, manage client expectations and resolve project issues before they affect delivery.
Technical Valuation Leadership
  • Provide technical leadership on valuation matters involving:
    • Mergers, acquisitions and corporate transactions
    • Purchase price allocations and business combinations
    • Goodwill and intangible-asset impairment testing
    • Fair value measurements
    • Equity compensation and stock-based awards
    • Complex debt, preferred equity, options, warrants and derivative instruments
    • Estate and gift tax planning
    • Ownership succession and shareholder planning
    • Buy-sell agreements and corporate reorganizations
    • Litigation, shareholder disputes and economic damages
    • Financial and strategic planning
  • Maintain a strong understanding of relevant accounting, tax, regulatory and professional valuation guidance.
  • Monitor developments in valuation standards, financial reporting requirements, tax regulations, capital markets and industry practices.
  • Develop practical solutions to complex or unusual valuation issues.
  • Promote consistency in the application of valuation methodologies, documentation standards and review procedures.
  • Contribute to the development of valuation templates, models, technical resources and practice guidance.
  • Participate in internal quality reviews and risk-management processes.
  • Coordinate with audit, tax, transaction advisory, litigation, corporate finance and other Baker Tilly professionals when engagements require multidisciplinary support.

Practice Development
  • Develop and execute business-development plans aligned with the strategic priorities of the Valuation practice.
  • Build relationships with existing and prospective clients, attorneys, accountants, investment bankers, private equity professionals, wealth advisors and other referral sources.
  • Identify opportunities to expand client relationships and introduce relevant Baker Tilly services.
  • Lead or participate in proposals, presentations, interviews and other pursuit activities.
  • Maintain an active professional network and represent Baker Tilly in relevant industry and professional organizations.
  • Maintain an appropriate portfolio of recurring and project-based client relationships.
  • Meet established expectations for revenue generation, engagement profitability and practice development.

Team Leadership and Talent Development
  • Lead, coach and develop managers, senior consultants, consultants and analysts.
  • Provide timely, specific and constructive feedback.
  • Review team members' work and help them strengthen their technical, analytical, project-management and communication skills.
  • Create opportunities for team members to gain exposure to different industries, valuation purposes and technical issues.
  • Promote collaboration across offices, service lines and industry groups.
  • Foster an inclusive, accountable and high-performing team environment.

Qualifications
Required
  • Bachelor's degree in finance, accounting, economics, business administration or a related field.
  • At least 12 years' experience in business valuation, corporate finance, transaction advisory, valuation consulting or a related discipline.
  • Significant experience leading complex business valuation engagements.
  • Demonstrated expertise in financial statement analysis, financial modeling and the application of generally accepted valuation methodologies.
  • Experience reviewing and signing or taking senior responsibility for valuation reports and related deliverables.
  • Demonstrated ability to manage multiple concurrent engagements, deadlines, budgets and client relationships.
  • Experience supervising and developing professional staff.
  • Strong business-development capabilities and a record of building client or referral relationships.
  • Advanced proficiency with Microsoft Excel, Word and PowerPoint.
  • Excellent written, verbal and presentation skills.
  • Ability to explain complex financial and valuation matters clearly to both technical and nontechnical audiences.
  • Willingness to travel periodically based on client and business needs.

Preferred
  • Master of Business Administration, Master of Finance, Master of Accounting or another relevant graduate degree.
  • One or more relevant professional credentials, such as:
    • Accredited Senior Appraiser in Business Valuation - ASA
    • Chartered Financial Analyst - CFA
    • Accredited in Business Valuation - ABV
    • Certified Valuation Analyst - CVA
    • Certified Public Accountant - CPA
  • Experience performing valuations for financial reporting under applicable fair-value and business-combination guidance.
  • Experience with tax-related and transaction-related valuations.
  • Experience valuing intangible assets, equity compensation, complex securities or derivative instruments.
  • Experience serving clients across multiple industries.
  • Established relationships with attorneys, financial sponsors, corporate executives, wealth advisors or other valuation referral sources.

Work Arrangement

The position may be based in an approved Baker Tilly office or structured under an applicable flexible-work arrangement. The Director will be expected to collaborate effectively with colleagues and clients across multiple locations and travel as business needs require.

The pay rate range for this job position is $168,000 - $330,690. Actual compensation is influenced by a variety of relevant factors including but not limited to applicant's skills, prior experience, qualifications, degrees, professional certifications, work arrangements and geographic location. Baker Tilly offers a comprehensive compensation and benefits package to eligible employees.
