Position Summary

The Deputy General Counsel, Compliance will serve as a senior leader within the Legal Department, reporting directly to the Chief Legal Officer. This individual will oversee the organization's global compliance program and act as the primary legal and compliance advisor on international trade regulations, government contracting compliance, and enterprise-wide compliance initiatives.

The role is responsible for leading a broad compliance framework that includes export controls, anti-corruption, data privacy, cybersecurity compliance, AI governance, whistleblower investigations, policy development, and training programs. The ideal candidate will bring significant experience supporting highly regulated industries, particularly those serving government, defense, or advanced manufacturing markets, and will have a track record of partnering effectively with regulators, executive leadership, and cross-functional stakeholders.



Key Responsibilities



Global Trade Compliance

  • Lead and mentor a team responsible for day-to-day export compliance activities, including classification, licensing, screening, and regulatory reporting.
  • Serve as the organization's senior authority on export controls and sanctions compliance across domestic and international operations.
  • Oversee export classification determinations, licensing applications, technology control plans, and regulatory filings.
  • Monitor evolving global trade regulations and implement appropriate policies, controls, and risk mitigation strategies.


Government Contracts Compliance

  • Advise business and legal stakeholders on compliance obligations associated with government and defense-related contracts.
  • Support compliance with applicable procurement regulations, contractor requirements, cybersecurity standards, and government audit obligations.
  • Partner with contracts, operations, and program teams to develop scalable compliance processes for a growing government contracting portfolio.


Enterprise Compliance & Governance

  • Lead the design, implementation, and continuous enhancement of the company's global compliance program.
  • Oversee enterprise risk assessments, policy development, internal controls, and compliance monitoring activities.
  • Direct anti-corruption compliance initiatives, including third-party due diligence, monitoring, investigations, and training.
  • Manage the corporate ethics and whistleblower reporting program, including intake, investigation oversight, remediation tracking, and leadership reporting.
  • Oversee compliance with global privacy regulations and cybersecurity-related requirements in collaboration with information security and technology teams.
  • Develop governance frameworks addressing emerging technologies and responsible artificial intelligence practices.
  • Draft and maintain company policies and deliver enterprise-wide compliance training programs covering key legal and regulatory topics.
  • Support internal controls and audit-related compliance initiatives in partnership with finance and internal audit functions.


Leadership & Stakeholder Management

  • Build and maintain strong relationships with regulatory agencies, external advisors, and industry stakeholders.
  • Collaborate closely with legal, compliance, corporate governance, intellectual property, and commercial teams on risk management and strategic initiatives.
  • Provide regular reporting to executive leadership and Board-level committees regarding compliance program effectiveness, emerging risks, and significant compliance matters.


Qualifications

  • Demonstrated expertise in international trade compliance, including export controls and related regulatory frameworks.
  • J.D. and active bar membership preferred.
  • 15+ years of legal, compliance, regulatory, or government contracting experience within highly regulated industries.
  • Proven leadership experience managing compliance teams and enterprise-wide compliance programs.
  • Strong ability to influence senior stakeholders and establish credibility with regulators and external partners.
  • Willingness and ability to travel domestically and internationally as needed.
